By accessing, browsing, or shopping on this website, or placing an order with us, you agree to all the terms and conditions in this agreement. Please read them carefully.

All images and descriptions of our products on the website are copyrighted property of Safe-Decon, Inc. and may not be copied or transmitted for purposes of copying or reproducing our technology.

REQUESTING A QUOTE
To request a quote for a product, you must be over 18 years of age and have the intent of using the product in a facility that in the normal course of business has the need to eliminate biological pathogens.

PLACING AN ORDER
To place an order, you must be over 18 years of age and be authorized to place an order for the facility. Orders will only be accepted via phone call/email or by requesting a quote.

Please note that all orders are subject to availability and that the inclusion of any products on the Website at a specific time does not mean that these products will be available at any time.

OUR CONTRACT
When you have placed an order, you will receive an e-mail confirming your order. Please note that this email will be an acknowledgement only and will not constitute acceptance of your order. A contract will be formed when we receive your initial payment for the products.

PRICING
Please request a quote for the products via our website. The prices quoted to you by our team are final prices, excluding state or local sales tax. Any state or local sales taxes applicable to your order will be calculated and added when you provide your shipping address. USA shipping to the lower 48 states is included in the price of the product. International shipping will be quoted after we receive your shipping address.

While we try and ensure that all details, descriptions and prices that appear on your quote are accurate, errors may occur. If we discover an error in the price of any goods which you have ordered, we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or canceling it. If we are unable to contact you, we will treat the order as canceled.

PAYMENT
Accepted payments depend on order size and destination country.

Extension of trade credit:
Upon receipt and acceptance of Customer’s purchase order, Safe-Decon will perform due diligence to extend the credit necessary to cover current and future orders, in addition to open invoices, if applicable. There is no guarantee that credit will be extended, and Customer may be required to prepay an amount up to the full order balance. Examples of due diligence procedures include, but not limited to, contacting trade references, reviewing financial statements (or requesting statements if not publicly available), internet research, and obtaining business credit score ratings. Safe-Decon requires a minimum deposit of 30% for orders equal or greater than $20,000 within 30 days of receipt of purchase order.

Late Payments and Collection: Invoices are due and payable within 30 days of the invoice date unless explicitly agreed upon extension. Any invoices unpaid after the due date shall bear interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. In the event that Safe-Decon, Inc must pursue legal action or a collection agency to recover unpaid balances, the Customer agrees to be responsible for all costs of collection, including but not limited to reasonable attorney’s fees, court costs, and agency commissions.

DELIVERY
All orders are shipped from our distribution centers in Tennessee and North Carolina (USA).

For information on our delivery times, please discuss with our team. We always strive to deliver your ordered products within the times we quote to you, however, due to unexpected events the delivery times are sometimes longer, for example as a result of postal delays or force majeure events. Dispatch times may also be longer during times with higher sales volumes, such as holiday seasons.

Quoted freight prices are estimates. Actual freight cost is added to final invoice. Taxes are not included in prices. If applicable, please provide tax exempt certificate of
delivery address. Delivery:
•We will make a good faith effort to meet requested delivery date. Date is contingent upon the timely receipt of purchase order, approval drawings (if required), production
schedule/component lead time at the time of order. To avoid delay, please reference Safe-Decon quotation number on your purchase order.

WARRANTY

Safe-Decon, Inc., expressly represents and warrants all goods (a) to be as specified (and described) in Safe-Decon Inc catalogs and literature, and (b) to be free under normal use, service and testing (all as described in Safe-Decon Inc catalogs and literature) from defects in material and workmanship for the period stated. 
The exclusive remedy for any breach or violation of this warranty is as follows: Safe-Decon, Inc., will F.O.B. Greeneville, TN, furnish without charge repairs to or replacement
of the parts or equipment which proved defective in material or workmanship. No claim may be made for any incidental or consequential damages.
This warranty is expressly in lieu of all other warranties, expressed or implied, including any implied warranty of merchantability of fitness for a particular purpose unless otherwise
agreed in writing signed by Safe-Decon, Inc. (Safe-Decon shall not be responsible for any improper use, installation, and service or testing of the goods.)

INTELLECTUAL PROPERTY
Unless otherwise noted, all materials, including, but not limited to, images, illustrations, designs, icons, photographs, video clips, and written and other materials that appear as part of the Website (collectively, the "Content") are copyrights, trademarks and/or other intellectual properties owned, controlled or licensed by Safe-Decon, Inc. The Content, and the Website as a whole, are intended solely for personal, non-commercial use by the users. You may download or copy the Content displayed on the Website for your personal, non-commercial use only. No right, title or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of, or exploit in any way, in whole or in part, any of the Content, the Website, or any related software. These Conditions shall be construed in accordance with the laws of the State of Florida, United States of America, without regard to any conflict of law provisions. LIMITATION OF LIABILITY
Safe-Decon, Inc. or its affiliated entities is not liable for any business-related damages or losses, neither for losses that are not caused by a breach on our side.

Nothing in these Conditions will exclude or limit our liability for any matter that it would be unlawful for us to limit or exclude our liability according to mandatory law.

The Website and the Content are provided "as is" without warranties of any kind. To the fullest extent permitted by law, Safe-Decon, Inc. disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Safe-Decon, Inc. reserves the right to assign or pledge to third parties any claim for payment which have arisen in connection with your purchase.
